2. Client Obligations

• Provide accurate and lawful information required for campaign execution.

• Secure necessary rights and permissions for any materials (e. g. , creatives, trademarks) shared with us.

• Comply with all applicable laws, including but not limited to GDPR, CCPA, and advertising platform policies.

• Use the website and services in accordance with these Terms.
   

3. Intellectual Property

A) Buddylytics Materials: Buddylytics retains ownership of all proprietary strategies, reports, methodologies, software, algorithms, and other works created by Buddylytics in the course of providing services ("Buddylytics Materials").

B) Client Materials: You retain ownership of your brand assets, data, and campaign content provided to Buddylytics ("Client Materials"). You grant Buddylytics a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, and modify the Client Materials solely to provide the services.

C) Derivative Works: If Buddylytics creates derivative works based on Client Materials, ownership of such derivative works will belong to the Client, provided they are substantially based on the Clients original work. Buddylytics retains ownership of any derivative works that are based on Buddylytics Materials or proprietary methodologies.
 

4. Data & Privacy

 

• Buddylytics processes data in accordance with its Privacy Policy.

• You warrant that you have all necessary rights and permissions to provide any data shared with Buddylytics for the purposes of the services.

• Buddylytics will implement reasonable measures to safeguard Client data and comply with applicable data protection laws, including GDPR and CCPA.

 

5. Third-Party Platforms

• The services may involve the use of third-party platforms, such as Meta Ads or Google Ads. You are responsible for complying with the terms of service of such platforms.

• You agree to grant Buddylytics the necessary access permissions to manage your campaigns on these platforms.

• Buddylytics is not liable for any actions taken by third-party platforms, such as account suspensions or policy changes, unless caused by Buddylytics gross negligence.

 

6. Termination

• Either party may terminate these Terms with thirty (30) days written notice.

• Upon termination:

• Buddylytics will return or delete Client Materials as requested.

• Any ongoing campaigns or pending deliverables will be addressed during a reasonable transition period.

• You will pay all outstanding fees for services rendered up to the termination date.

 

7. Disclaimers

• Buddylytics does not guarantee specific outcomes, such as return on investment or engagement rates.

• The website and services are provided "as is" without warranties of any kind, either express or implied.
